TERMS OF SERVICE - CARRIED BY GRACE WHOLESALE

Effective Date: May 24, 2026

1. ELIGIBILITY This wholesale storefront is open to approved retail boutiques and resellers only. By placing an order, you confirm that you are a licensed retail business purchasing products for resale. Carried by Grace Wholesale reserves the right to approve or deny any wholesale application at its discretion.

2. ACCOUNT & ACCESS Wholesale pricing and access are granted upon approval of your application. Your account credentials are non-transferable. You are responsible for maintaining the confidentiality of your login information.

3. ORDERS All orders are subject to availability at the time of purchase. We reserve the right to cancel or adjust orders at our discretion.

4. PRICING All prices are listed in USD. Wholesale pricing is exclusive to approved accounts and may not be shared publicly. Prices are subject to change without notice.

5. READY TO SHIP (RTS) ORDERS RTS items are in stock and will ship within the timeframe stated at checkout. Availability is not guaranteed until payment is confirmed.

6. PREORDER POLICY Preorder items are produced or sourced after purchase. Estimated ship dates are provided at the time of order and are subject to change. Preorders are non-refundable once placed unless the item is cancelled by Carried by Grace Wholesale.

7. PAYMENT Payment is due at the time of order unless net terms have been explicitly granted in writing. We accept payment methods available at checkout. Unpaid invoices may result in account suspension.

8. SHIPPING Orders are shipped to the address provided at checkout. Carried by Grace Wholesale is not responsible for delays caused by carriers. Shipping costs are the responsibility of the buyer unless otherwise stated.

9. RETURNS & CANCELLATIONS All sales are final unless an item arrives damaged or defective. Claims for damaged goods must be submitted within 4 business days of delivery with photo documentation. Approved claims will be issued as store credit only. We do not accept returns on preorder items.

10. BRAND USE Approved retailers may use product images provided by Carried by Grace Wholesale for the purpose of resale only. Modification of product images or use outside of resale context is prohibited without written consent.

11. LIMITATION OF LIABILITY Carried by Grace Wholesale is not liable for indirect, incidental, or consequential damages arising from the use of our products or services.

12. GOVERNING LAW These Terms are governed by the laws of the State of Mississippi, United States, without regard to conflict of law principles.

13. CHANGES TO TERMS We reserve the right to update these Terms at any time. Continued use of this wholesale platform constitutes acceptance of the updated Terms.
